Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

By accessing or using the services offered by Nextwafe ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access our services.

These Terms apply to all users, clients, and customers of our services, including but not limited to web development, SaaS MVP development, landing page design, e-commerce development, API development, and consulting services.

2. Services

Nextwafe provides web development and related services as outlined on our website and in specific project agreements with clients.

All services are provided on a project-by-project basis, and the specific deliverables, timelines, and payment terms will be outlined in separate agreements or statements of work.

We reserve the right to refuse service to anyone for any reason at any time.

3. Intellectual Property

Upon full payment of all applicable fees, clients will receive rights to the final deliverables as specified in the project agreement. Unless otherwise specified, Nextwafe retains the intellectual property rights to all underlying code, frameworks, and systems developed during the project.

Nextwafe may display and link to your completed project as part of our portfolio and promotional materials unless specifically prohibited in writing.

All materials provided by the client remain the property of the client, and you represent that you have all necessary rights to these materials.

4. Payment Terms

Payment schedules and amounts will be specified in individual project agreements. Unless otherwise stated, we typically require a deposit before beginning work, with remaining payments tied to specific milestones or deliverables.

Late payments may result in work being paused or terminated, and may incur additional fees as specified in the project agreement.

All invoices are payable in the currency specified in the project agreement.

5. Project Changes and Revisions

The number of revisions and the scope of work will be outlined in each project agreement. Changes to project requirements after agreements are signed may result in additional costs and timeline adjustments.

Any changes requested outside the original scope of work will be billed at our standard hourly rates or as otherwise agreed upon in writing.

6. Limitation of Liability

Nextwafe will not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any bugs, viruses, or the like that may be transmitted to or through our service
  • Any errors or omissions in any content

In no event will our liability exceed the amount paid by you to Nextwafe for the applicable project.

7. Termination

Either party may terminate a project as specified in the project agreement. Upon termination, you will be required to pay for all services rendered up to the date of termination.

If a project is terminated, all licenses granted to the work completed up to that point will be determined by the payment status and as outlined in the project agreement.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws applicable to contracts made and to be performed in the jurisdiction where Nextwafe is based, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by updating the date at the top of these Terms.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
